Digital Workplace Common Terms

Service description valid from May 2021, for services provided under Cloud Agreement version 5 or later and SSA-D.

Deliveries to the Customer

Digital Workplace services that are to be delivered to the Customer at the conclusion of the agreement are specified in the Cloud Agreement's Appendix 1: Prices and scope, or appendices to the SSA-D standard agreement. During the term of the agreement, the last invoice for the services applies as documentation of services provided.

Validity and Scope of Coverage

The service description applies to Services provided under a valid Cloud Agreement or SSA-D agreement.

"Digital Workplace Common Terms" contains terms and conditions that are common to Services provided in accordance with the Service Descriptions:

If there is a conflict between this document and the individual Service Description, this document takes precedence unless an explicit deviation is stated.

Selected services above are also available with Microsoft "Academic" and "Non-Profit" license terms and associated prices for eligible customers.

The packages that include user services in the Supplier's Data Centers can be combined with IaaS and PaaS services from the same data centers in a seamless way.

Standard establishment SLA

When establishing a new service or increasing the number / users of existing services, the customer is charged an amount corresponding to a monthly rent for the new establishment or the increase in the number of users or services.

In the case of a new establishment, the user, group and other lists are imported and sent to the Customer prior to establishment. It is assumed that the Customer fills in and submits the necessary information.

User applications Installation of user / client applications on relevant platforms:

  • For Digital Workplace from the Supplier's Data Center, a client application is installed on Terminal Servers
  • For Digital Workplace Online, standard Microsoft software is published in the Customer's Intune / O365 "Company Portal" and / or "Microsoft Store"
Server applications
  • Server application installation on server VM
  • Setup of necessary communication to other machines that are included in the delivery in the Supplier's data center.
  • Setup of OS Firewall according to the manufacturer's specification
  • Setup of framework for operation including backup if included in SLA
Database server As for the World Cup, but in addition:

  • Installation of MS SQL Server
  • Default technical settings for MS SQL Server

Other DB server software can be installed on request such as Time-based Consulting Service

Standard Establishment covers the Supplier's costs for execution, including installation work. Standard Establishment does not include import of customer data, customer-specific adaptations of the financial system, professional application or other special adaptations beyond the necessary basic registration of information for operation of the service to be delivered.

Some services may have higher establishment prices defined. In such cases, this is stated in the relevant appendix.

Professional applications

If new subject applications are to be implemented during the agreement period, these will be priced in accordance with relevant appendices as 1, 2 or 3 layers of subject applications, depending on the application architecture. The license cost will be in addition to the price for application operation. If other new services are to be implemented during the agreement period, and unit prices for these services are not specified in Appendix 1, the Supplier will prepare offers for the requested services before they are put into operation. The unit prices will be based on the same calculations and principles as the other unit prices stated in Appendix 1. It cannot be guaranteed that every requested application, or every requested system, is compatible with the Supplier's systems.

Billing

The services are invoiced from and including the month in which they are established, and up to and including the month in which they are terminated. No less than one monthly rent is invoiced for individual services. Invoicing takes place automatically on the basis of defined accesses in the system. As invoicing takes place in advance, the invoice will be based on the access that was defined in the system at the time of invoicing, approx. 1 month before the current period. Changes that occur in the period from the invoice is generated until it falls due will be automatically corrected by correction invoicing, or crediting in connection with the next invoicing period. The fact that changes have been made in access after the invoice has been generated is not a basis for withholding payment. Correct crediting will only take place the following period.

Changes in scope of service

Within the agreement period, the volume and composition of the services can be changed by further agreement. If the services' total monthly turnover is reduced by more than 25%, the provisions on notice period apply, cf. the Main Agreement. An increase or decrease in services in general results in a linear price change based on the fixed unit prices specified in Appendix 1: Prices and scope in the main agreement.

Manufacturers' License Terms and Delivery Terms

Subcontractors (Manufacturers) of software and cloud services that are part of the Supplier's services have their own conditions that apply to the Customer's use of these services.

The Supplier's Services and Terms in no way alter the Manufacturers' licenses, terms, conditions or SLA for such products and services. The Supplier's services are to be regarded exclusively as additional services to the Manufacturers' service deliveries.

Microsoft Customer Agreement and related documents

All services or sub-services that include Microsoft licenses or services, provided that the customer has accepted the terms of the current Microsoft Customer Agreement (MCA). Customer's authorized representative must confirm this in writing to the Supplier and / or sign the MCA digitally with Microsoft directly before deliveries can occur.

Microsoft licenses and services (Microsoft 365 and Azure etc.) are provided in accordance with the Microsoft Terms and Conditions in force at any time. Current documents can be downloaded from the following source:

Other manufacturers

Other manufacturers' products and services may be included in the service delivery. The customer's use of the services is to be regarded as acceptance of the Manufacturers' terms. The Supplier may, upon request, state relevant License Terms and other terms and conditions of use.

Security

Safety regulations are described in the document «Safety SLA for Braathe Gruppens Services »and applies to all services in this and related Service Descriptions.

Third party application providers and consultants

The customer must expect to have their own competent personnel, or agreement with a 3rd party application supplier or consulting company, to carry out regular application-specific configuration work and customer adaptations in financial systems and professional applications. This will be relevant for both initial configuration and required adjustments as a result of version upgrades. The Supplier shall facilitate the technical setup and configuration of the Customer's applications, but does not have cutting-edge expertise regarding the use and configuration of all kinds of applications. For professional applications, the Contractor may make less regular updates at the request of the Customer or 3rd party application provider (Reactive), but it is the Application Provider or the Customer himself who has the Proactive responsibility for assessing when updates can, should or must be carried out.

The third party who shall have access to the Supplier's systems is subject to the Supplier's current policy for such accesses.
